What You Pay for an Ohio LLC in 2026
Short answer: $99, once. Ohio charges that to accept your Articles of Organization (Form 610) and then never bills your LLC again. No report fee, no renewal, no franchise tax. Below is the complete list of what the state can charge and what we charge, so you can budget the whole thing before you start.
The One Required Fee
Filing Form 610 is $99, a figure written into Ohio Rev. Code § 111.16(F) rather than set by agency whim. Online through Ohio Business Central and paper both price out the same. You can confirm the number yourself on the state's fee schedule any time you like.
What Ohio Charges Per Year: Nothing
This surprises people who formed companies elsewhere. An Ohio LLC has no annual report and therefore no annual report fee; the ongoing Secretary of State bill is a flat $0. The only recurring money question sits with a different agency entirely: cross the statutory gross-receipts threshold and the Ohio Department of Taxation expects Commercial Activity Tax filings. That is a tax, not a report, and plenty of small LLCs never reach it.

Get Started| What | Amount | When |
|---|---|---|
| Form 610, Articles of Organization | $99 | Once, at formation |
| Yearly report to the state | $0 | Never, none exists |
| Form 521, Statutory Agent Update | $25 | Only when you swap agents |
| Form 617, foreign LLC registration | $99 | Once, out-of-state LLCs entering Ohio |
| Expedited handling | $100 | Optional, at filing |
The $25 for agent changes traces to ORC § 111.16(R)(1). Both 521 and 617 go through Ohio Business Central or the mail, your pick.
What We Charge
- Formation, $199 plus the state's $99. Covers preparing Form 610, filing it, and confirming approval, with your first year of registered agent service bundled in at no extra charge. Agent coverage renews at $99 a year from year two.
- Registered agent by itself, $99 a year. For existing LLCs that just need a qualifying Ohio address and someone reliable at it.
- Foreign qualification, $199 plus state fees. We handle Form 617 when your out-of-state LLC starts doing business in Ohio.
Budgeting It Out
Do it yourself and the whole first year is the $99 state fee plus whatever your agent arrangement runs. Use us and year one is $199 to us and $99 to Ohio, agent included. Every year after: $99 to keep the agent service, $0 to the state. Few states make the math this easy.
